SERVICE OFFER AGREEMENT

  • This Agreement is a public offer contract and, in accordance with Art. 633, 641 of the Civil Code of Ukraine, its conditions are the same for all counterparties. Unconditional acceptance of the terms of the contract (payment by any method, in accordance with Part 2 of Article 642 of the Civil Code of Ukraine) is considered acceptance of the Agreement between the person who made the payment and the Customer and certifies the fact of its conclusion. If you do not agree to unconditionally accept the terms of the Agreement, you do not have and do not acquire the right to receive services under this Agreement.

1. SUBJECT OF THE AGREEMENT

  • 1.1. In accordance with the procedure and conditions specified in this Agreement, the Contractor undertakes to provide, and the Customer to accept and pay for services according to the nomenclature, in quantity, at prices and on time in accordance with the terms of the Agreement and Invoices.
  • 1.2. Prepayment by the Customer of 100% of the cost of services is considered, in accordance with Art. 642 of the Civil Code of Ukraine, by accepting the terms of the Offer Agreement (full and unconditional acceptance of this Agreement), and certifies the fact of its conclusion, as well as certifies the Customer’s agreement to conscientiously use the rights and clearly fulfill the obligations arising in connection with the receipt of services .

2. COST OF SERVICES AND PROCEDURE OF CALCULATIONS

  • 2.1. The settlement is carried out in non-cash form to the Contractor’s current account specified in the Invoice by prepayment of 100% of the cost of the services.
  • 2.2. The customer pays for all banking services necessary for payment under this Agreement at his own expense.
  • 2.3. The date of payment for the Contractor’s services shall be the date on which the amount to be paid is credited to the Contractor’s account.

3. OBLIGATIONS OF THE PARTIES

  • 3.1. The customer undertakes:
  • 3.1.1. Prepay for services on the terms specified in the Invoice by 100% prepayment.
  • 3.1.2. Timely accept the services provided by the Contractor and make their payment in accordance with the invoices received from the Contractor issued on the basis of this Agreement.
  • 3.1.3. At the request of the Contractor, eliminate circumstances that threaten the quality and timeliness of the provision of services:
  • 3.1.4. The Contractor is not responsible for non-compliance with the terms and quality of the provision of services, which were provided late as a result of the Customer’s non-compliance with the conditions specified in clauses 3.1.1.-3.1.4. Agreement.

3.2. The contractor undertakes:

  • 3.2.1. Provide services within the terms stipulated in the relevant Invoices to this Agreement.
  • 3.2.2. Provide high-quality services with the help of qualified specialists who have received appropriate training.
  • 3.2.3. Inform the Customer about the circumstances that prevent the high-quality and timely provision of services under this Agreement.
  • 3.2.4. To comply with the rules of the internal procedure of the Customer’s activity.

4. LIABILITY OF THE PARTIES

  • 4.1. In case of violation of their obligations under this Agreement, the Parties bear the responsibility defined by this Agreement and the current legislation of Ukraine. A violation of an obligation is its non-fulfillment or improper fulfillment, that is, fulfillment in violation of the conditions defined by the content of the obligation under this Agreement.
  • 4.3. The Customer undertakes not to apply for employment offers to the Contractor’s employees and legal entities affiliated with him (a legal entity that directly or indirectly controls another person, or is directly or indirectly controlled by another person, or that is under common control together with such another person person, hereinafter referred to as the Affiliated Person), during the term of this Agreement, and within 12 months after the expiration of the Agreement, except in cases of written consent by the Contractor.
  • 4.4. The Contractor is not responsible for non-fulfillment and/or untimely fulfillment of obligations under this Agreement, if this is due to the Customer’s actions or inaction, which led to the Contractor’s failure to fulfill its own obligations to the Customer under this Agreement.
  • 4.5. All disputes related to this Agreement, its conclusion or those that arise in the process of fulfilling the terms of this Agreement shall be resolved through negotiations between the representatives of the Parties. If it is impossible to resolve disagreements through negotiations, the dispute is referred to judicial bodies for resolution in accordance with the current legislation of Ukraine.

 4.6. The Contractor may immediately, subject to written notice to the Customer, terminate this Agreement in the event that:

5. DURATION OF THE AGREEMENT

  • 5.1. The Agreement enters into force from the moment of acceptance of its terms by the Customer by payment of the Invoice and is valid until the Parties fully fulfill their obligations, but no later than one calendar year.

6. FINAL PROVISIONS

  • 6.1. The Contractor has the right to change the terms of this Agreement unilaterally by posting a new version on the Internet on the official website /.
  • 6.2. In the event of force majeure circumstances (circumstances of force majeure that do not depend on the will of the Parties), including but not limited to the following: wars, military operations, changes in legislation that make it impossible for the Parties to fulfill their obligations, fires, floods, other natural disasters disasters or seasonal natural phenomena, destruction of communications and means of energy supply, the Parties are exempted from fulfilling their obligations for the duration of the specified circumstances.
  • 6.3. The exchange of information between the Parties can be carried out directly, or using telephone, telegraphic, facsimile communication, by correspondence or e-mail. Copies of documents sent by facsimile or e-mail are legally valid until the originals are provided.
